F\u00fcr das Gesch\u00e4ftsjahr 2023 wurde eine Dividende von 2.50 CHF pro Aktie genehmigt. Neu wurde Martin Kl\u00f6ti in den Verwaltungsrat gew\u00e4hlt.<\/strong><\/p>\n<p>256 Aktion\u00e4rinnen und Aktion\u00e4re haben heute an der ordentlichen Generalversammlung der Autoneum Holding AG in Winterthur teilgenommen. Insgesamt waren 72.56 Prozent des Aktien-kapitals durch die anwesenden Aktion\u00e4rinnen und Aktion\u00e4re oder den unabh\u00e4ngigen Stimmrechtsvertreter vertreten.<\/p>\n<p>Verwaltungsratspr\u00e4sident Hans-Peter Schwald betonte in seiner Rede: \u00abDie \u00dcbernahme von Borgers Automotive war ein strategisch wichtiger Schritt. Dadurch baut Autoneum seine globale Markt- und Technologief\u00fchrerschaft mit nachhaltigen und leichten Akustik- und W\u00e4rmemanagement-L\u00f6sungen f\u00fcr Fahrzeuge deutlich aus.\u00bb<\/p>\n<p>CEO Eelco Spoelder erl\u00e4uterte die wichtigsten Ereignisse des Jahres 2023 und f\u00fcgte hinzu: \u00abAutoneums Erfolge sind auf eine klare Fokussierung auf strategische Priorit\u00e4ten und profitables Wachstum sowie auf die konsequente Umsetzung entsprechender Aktionspl\u00e4ne zur\u00fcckzuf\u00fchren. Auf dieser Grundlage best\u00e4tigt Autoneum den positiven Ausblick f\u00fcr 2024.\u00bb<\/p>\n<p>Die Aktion\u00e4rinnen und Aktion\u00e4re genehmigten den Jahresbericht 2023 einschliesslich der Konzern- und Jahresrechnung. Der Antrag des Verwaltungsrats, aufgrund des positiven Konzernergebnisses eine Dividende von 2.50 CHF je Namenaktie f\u00fcr das Gesch\u00e4ftsjahr 2023 auszusch\u00fctten, wurde von der Generalversammlung ebenfalls angenommen. Die Dividendenzahlung erfolgt ab dem 15. April 2024. Der Corporate Responsibility Report 2023 wurde im Sinne einer Konsultativabstimmung mit 99.48 Prozent genehmigt.<\/p>\n<p>Hans-Peter Schwald wurde als Pr\u00e4sident, Liane Hirner, Norbert Indlekofer, Michael Pieper, Oliver Streuli und Ferdinand Stutz als Mitglieder des Verwaltungsrats f\u00fcr ein weiteres Jahr im Amt best\u00e4tigt. Hans-Peter Schwald, Norbert Indlekofer, Ferdinand Stutz und Oliver Streuli wurden in den Verg\u00fctungsausschuss wiedergew\u00e4hlt. Die Aktion\u00e4rinnen und Aktion\u00e4re der Autoneum Holding AG haben ferner s\u00e4mtlichen Mitgliedern der Konzernleitung und des Verwaltungsrats mit deutlicher Stimmenmehrheit Entlastung erteilt.<\/p>\n<p>Mit Martin Kl\u00f6ti erweitert sich der Verwaltungsrat der Autoneum Holding AG von sechs auf sieben Mitglieder. Hans-Peter Schwald erkl\u00e4rte: \u00abDie Kompetenzen von Martin Kl\u00f6ti in den Bereichen Unternehmenssteuerung und Finanzen in international t\u00e4tigen Unternehmen sind f\u00fcr Autoneum von grossem Wert. Wir als Verwaltungsrat freuen uns \u00fcber die bereichernde Erg\u00e4nzung des Gremiums und auf die zuk\u00fcnftige Zusammenarbeit.\u00bb<\/p>\n<p>Die Konsultativabstimmung \u00fcber den Verg\u00fctungsbericht 2023 erreichte eine Zustimmung von 86.89 Prozent. Die Antr\u00e4ge zur Verg\u00fctung des Verwaltungsrats und der Konzernleitung f\u00fcr das Gesch\u00e4ftsjahr 2025 sowie die \u00fcbrigen Antr\u00e4ge wurden ebenfalls mit grosser Mehrheit angenommen.<\/p>\n<p>Alle Abstimmungsergebnisse werden detailliert im Protokoll zur Generalversammlung publiziert werden, welches ab dem 24.
