As a global group of companies, we play a significant role within the local communities where Autoneum and our suppliers conduct business, as well as within the automotive industry. Our company takes its responsibility to be a good corporate citizen seriously. The Responsible Supply Chain workstream within the Corporate Responsibility Steering Committee is tasked with monitoring the performance, risks and opportunities for supply chain topics. Risks and issues related to conflict materials and child labor are addressed in the Audit Committee of the Board of Directors, while human rights topics are referred to the Board of Directors’ Nomination Committee and Compensation Committee.

United Nations Global Compact
Autoneum has been a participant in the UN Global Compact, the world’s largest initiative for sustainable business, since 2023. Our company is thus committed to acting responsibly in accordance with the principles of the UN Global Compact in the areas of human rights, labor, environmental protection and anti-corruption.

Compliance Approach
Act with Responsibility
It is important to identify, assess and control the legal risks. At Autoneum, we do this by using a comprehensive Compliance program that is based on three pillars. The aim of this is to avoid, detect early and, if necessary, react to any infringements of the law and the Code of Conduct so that we can uphold our responsibility and prevent any damage to Autoneum and third parties.
Our Compliance Program is based on an annual risk analysis. The results of this facilitate precise and efficient management of compliance activities. Our Code of Conduct as well as directives, training courses, e-learning programs and the provision of individual advice aim to support our employees in specific dilemma situations.
In addition to internal communication channels, the “Speak Up Line” reporting system is also available for identifying any potential misconduct. Reports are followed up with fair investigations. Clear responses and consequences serve to punish any misconduct and eliminate weaknesses.
Code of Conduct
Core Component of the Compliance Program
As a global market and technology leader, Autoneum aims to act in an exemplary manner at all levels and in particular in its business relations. Our stakeholders, be they customers, investors, suppliers, business partners or employees, expect Autoneum always to gear its actions towards the highest ethical standards. The assumption of our ethical and legal responsibility – be this towards external stakeholders or employees – is reflected in our strict compliance with laws, provisions, regulations and internal guidelines.
The Code of Conduct is based on the corporate values of Autoneum and specifies in detail the expectations and standards applicable within the scope of our business activities and their concrete implementation. The principles set out in the Code of Conduct are binding for all employees at all locations in all countries. Management employees are expected to set an example for others through their own behavior and in doing so to create an open working environment based on trust.
All employees of Autoneum must be aware of their personal responsibility and at all times display ethically unimpeachable conduct in accordance with the Code of Conduct. Compliance with the standards set out in the Code of Conduct is of core importance for the long-term success of Autoneum. Infringements of the Code of Conduct are therefore not tolerated.


Speak Up Process
In order to support our compliance program, we encourage anyone who observes or suspects misconduct at Autoneum to notify us according to our Speak Up Process via the various reporting channels available, as outlined in the description of the Speak Up Process. This document is available in different languages and can be downloaded by clicking on the link below. The Speak Up Process may be used for all compliance concerns, including but not limited to matters related to compliance with the German Supply Chain Act (LkSG), the French Sapin II Law or any other current or future laws.
Reliable reporting channels and protection of whistleblowers from retaliation help ensure that any potential misconduct can be reported, thoroughly investigated and resolved.
If you, as an employee, become aware of any infringement of applicable laws, our Code of Conduct or any other internal policies, or if you have any questions concerning compliance, you should initially contact your supervisor, representatives of the Human Resources department or the Legal & Compliance department. In addition, we offer the Speak Up Line as a reporting channel. The Speak Up Line reporting system provides a secure channel through which reports can be made online, around the clock and anonymously if desired. The Speak Up Line is available in many languages at https://autoneum.integrityline.com/
Please note that all reports, irrespective of the reporting channel used, will be treated confidentially and processed by Autoneum’s Legal & Compliance department.
Organization
The Compliance Council has the following members: CEO, CFO, Head Audit, Head HR and the Group General Counsel & Head Compliance. The Compliance Officer serves as Secretary of the Compliance Council. The committee is dedicated to discussing compliance issues and defining appropriate measures.

Procurement practices
Autoneum supplies automobile manufacturers around the world with components for the interior floor, underbody and engine bay. The Group is active in 25 countries, creating substantial demand in direct spend (materials that are directly incorporated in a product) and indirect spend (goods and services supporting the production process, such as machinery, energy and travel services). The company’s total procurement spend in 2024 amounted to CHF 1 239 million. Responsible procurement offers more than just operational advantages such as higher product quality and shorter lead times. Rather, we see responsible procurement as an opportunity to help shape markets and sourcing practices to become more sustainable, ensure the safety of end customers, create new jobs and attract further investment to less favored regions.
Sourcing responsibly
Our company currently works with around 1 500 direct and around 11 000 indirect spend suppliers. We operate an internet-based supplier portal where interested companies can register to join our global supplier network. New suppliers must agree to the terms of use, confidentiality agreement and Autoneum’s Code of Conduct for Suppliers when signing up for the portal. Suppliers must adhere to the Code of Conduct for Suppliers, which is aligned with the latest ESG regulations and automotive industry standards.
We do not tolerate any form of forced and child labor within our operations or our supply chain, as set out in the Autoneum Code of Conduct for Suppliers. Our company seeks compliance with human and labor rights regulations among our suppliers through our Code of Conduct for Suppliers, the Supplier Assessment Questionnaire (SAW) and/or a Child Labor Self-Declaration for suppliers. Some of the suppliers who have their own child labor policies/declarations, mainly within the EU, have shared them with the company instead of signing Autoneum’s self-declaration.
Material Compliance
Material compliance is crucial to safeguarding the health and safety of consumers who drive cars equipped with Autoneum components. Our company ensures all suppliers adhere to material regulations through a range of tools and systems. The material compliance team at Autoneum is tasked with developing processes and tools that ensure the materials purchased and used in products meet both legal and customer requirements.

Noise reduction of vehicles
Effective acoustic treatment for vehicles is gaining further importance in light of new pass-by noise regulations introduced across the globe that aim to reduce health-damaging environmental noise pollution. Excessive noise pollution can have a negative impact on human health and well-being. By reducing noise emissions from vehicles, we contribute to improving the quality of life for people in urban areas. Based on our company’s 50+ years of experience in vehicle acoustic management, we support customers in reducing exterior noise caused by the exhaust or rolling noise resulting from the friction of tires on the road, as well as disturbing interior sounds emitted by the combustion engine, e-motors and other electric devices in e-cars.

Our Approach: Policies and Framework
To ensure robust compliance with IT and privacy regulations, Autoneum has implemented a comprehensive framework of policies and directives to safeguard both customer data and internal operations.
Governance and Oversight
The Board of Directors is responsible for the business strategy and overall management of the Autoneum Group and Group companies. This includes responsibility for IT issues embedded in the corporate strategy. An aggregate review of all identified risks, including IT/cyber, and of the instruments and measures to address them is performed on a semi-annual basis by the Risk Council, consisting of representatives of all Business Groups and Group Functions. The review results are reported to the Board of Directors and the Group Executive Board. The Board of Directors’ Audit Committee is responsible for the overall supervision of risk management and acceptance of the Risk Report to the Board of Directors and the Group Executive Board.
The Board of Directors delegates operational business management, including IT, to CEO Eelco Spoelder. As Head Group IT & Chief Digitization Officer, Joern Heipmann leads Autoneum’s global IT operations.
Oversight of Information Security initiatives, management of TISAX adoption and ISMS performance, and the review of security incident reports is provided by the Group Information Security Board (GISB), which meets at least on a quarterly basis. The composition of the GISB, determined by Autoneum’s CEO, by default consists of the following functions: CEO, CFO, Head Group IT & CDO (Chair), Group General Counsel & Head Compliance, Head Financial Services & IR, and Head Group HR. The GISB is also responsible for escalating critical Information Security initiatives and projects, ensuring regular updates of Information Security-related Directives and Guidelines, driving Information Security action plans based on company objectives and risk assessments, and supporting high Information Security awareness of all employees through regular training (see below).
Autoneum uses Bitsight to monitor our security rating and track progress on the findings.
Information Security Management System (ISMS)
Autoneum has an ISMS in place that covers the following elements: Information Security-related business continuity plants; Information Security vulnerability analysis; internal audit of the IT infrastructure and Information Security management systems (known as the IT Health Check); independent external audit of the IT infrastructure and/or Information Security Management systems through KPMG and TIXAX VDA ISA Version 6 (which aligns with the international standard ISO/IEC 27001; escalation process for employees to report incidents, vulnerabilities or suspicious activities through the Speak Up Line (see below); Information Security awareness training (see below). In 2025, Autoneum disclosed 0 data breaches according to internal ISMS reporting.
Training and Awareness
All employees complete mandatory e-learning modules that cover cyber security, data protection, and social engineering. These initiatives are tailored to employee roles and risk exposure, ensuring that all staff – from operators to executives – are equipped to recognize threats like phishing and data breaches. Compliance training is further reinforced through the Code of Conduct and awareness campaigns. Together, these measures form a resilient compliance culture that protects Autoneum’s digital infrastructure and upholds the trust of our stakeholders.

Statement Modern Slavery Act
Within Autoneum, we do not tolerate any form of modern slavery and commit to act in an ethical manner and to safeguard against any form of modern slavery or human trafficking and child labor. Our Code of Conduct for Suppliers shall ensure that our suppliers and contractors will respect and comply with the same ethical standards as we do within Autoneum.
This statement is made pursuant to section 54 of the British Modern Slavery Act. It sets out the steps that Autoneum Great Britain Ltd. (UK), Borgers Ltd. (UK) and its affiliates (“Autoneum”) have taken, and are continuing to take, to ensure that modern slavery, human trafficking and child labor are not taking place within our business or supply chain.
Declaration on the human rights strategy of the Autoneum Group
With the following document Autoneum publishes its statement on its human rights strategy to emphasize our commitment to respecting and promoting human rights throughout our entire supply chain.
In line with our corporate values, we are committed not only to complying with applicable laws such as the German Supply Chain Due Diligence Act, but also to preventing human rights violations along our global business operations and value chain. We strive to continuously improve our processes in this area.
Gender Pay Gap Information
Within Autoneum, we wish to offer a workplace free from harassment and discrimination, offering equal opportunities for all employees regardless of gender and other personal criteria. Amongst others, this includes the elimination of any gender pay gap.
Based on the Equality Act 2010 (Gender Pay Gap Information) Regulations 2017 in the UK, Autoneum Great Britain Ltd. (UK) has to carry out several calculations that show the difference between the average earnings of men and women without disclosing individual employee’s data. The results will be published on our own website and a British government website.
Companies in Brazil with 100 or more employees must begin publishing their gender pay gap reports by September 30, 2025. This requirement is part of Brazil’s Equal Pay Law (Law No. 14,611/2023), enacted in July 2023.
In France, companies with 50 or more employees are required to publicly disclose their results under the Gender Equality Index.
Fighting Against Forced Labour and Child Labour in Supply Chains Act (Canada)
Autoneum does not tolerate any form of child or forced labour within its operations or its supply chain. In compliance with Canada’s Fighting Against Forced Labour and Child Labour in Supply Chains Act, Autoneum filed a report with Canada’s Ministry of Public Safety and Emergency Preparedness, detailing the steps taken during the previous financial year to prevent and reduce the risk of forced labour and child labour in its operations and supply chain. Information execution of tax strategy (PL)
Based on article 27c of the Polish Corporate Income Tax Act of 15 February 1992, Autoneum Poland Sp. z o.o. (PL) is required to provide an annual information update on the execution of its tax strategy. Please find all necessary information in the document below.
Healthcare Machine-Readable Files (North America)
Pursuant to Centers for Medicare & Medicaid Services (CMS) regulations, the following link leads to Autoneum North America’s machine-readable JSON files. These files are made available in response to the federal Transparency in Coverage Rule and include negotiated service rates and out-of-network allowed amounts between health plans and healthcare providers. The machine-readable files are formatted to allow researchers, regulators, and application developers to access and analyze data more easily.
